Please read these terms carefully. By accessing or using ShopForge, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
To use ShopForge, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. Each Shop provisioned on the Service is a separate tenant with isolated data. You may not access or attempt to access another Shop's data.
Access to ShopForge requires a paid subscription. Subscription fees, billing cycles, and included features are as described at the time of purchase or as agreed in a separate order form. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. We reserve the right to change pricing with 30 days' written notice. Failure to pay may result in suspension or termination of your access to the Service.
You agree to use the Service only for lawful purposes related to managing an automotive repair or service business. You may not:
The Service includes SMS messaging capabilities powered by Twilio. You are solely responsible for ensuring compliance with all applicable laws regarding SMS communications, including the TCPA and state-level regulations. You must obtain proper consent from your customers before sending them text messages through the Service. You are responsible for honoring opt-out requests (STOP messages) from your customers. Refit LLC is not liable for your use of SMS messaging in violation of applicable laws.
The Service integrates with third-party services including Stripe (payments), Twilio (SMS), QuickBooks Online (accounting), Resend (email), and PlateToVIN (vehicle lookup).
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

While we take reasonable measures to protect your data, no method of electronic storage or transmission is 100% secure. We cannot guarantee absolute security.
The Service, including its design, code, features, documentation, and trademarks, is the intellectual property of Refit LLC. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription period. You may not copy, modify, or create derivative works based on the Service.
If you purchase a standalone license to the ShopForge platform (the “Purchase Option”), you receive a non-exclusive, perpetual license to deploy and operate the platform on your own infrastructure. The Purchase Option includes the source code as delivered at the time of purchase. It does not include future updates, new features, or ongoing support unless separately agreed. You may not resell, redistribute, or sublicense the source code to third parties.
To the maximum extent permitted by law, Refit LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).
You agree to indemnify, defend, and hold harmless Refit LLC, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:
These Terms are governed by the laws of the State of California without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Orange County, California, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you may cancel your subscription before the changes take effect.
