Terms of Service

1. Definitions

• “Service” means the ShopForge shop management platform, including all features, tools, APIs, and related services provided by Refit LLC.
• “Subscriber” or “you” means the business entity or individual who subscribes to the Service.
• “User” means any individual who accesses the Service under a Subscriber's account, including owners, managers, service writers, and technicians.
• “Customer Data” means all data entered into, generated by, or stored within the Service by a Subscriber or its Users, including but not limited to customer records, vehicle information, work orders, estimates, invoices, inspection reports, photos, and SMS messages.
• “Shop” means a single business location provisioned within the Service.

2. Account Registration and Access

To use ShopForge, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. Each Shop provisioned on the Service is a separate tenant with isolated data. You may not access or attempt to access another Shop's data.

3. Subscription and Payment

Access to ShopForge requires a paid subscription. Subscription fees, billing cycles, and included features are as described at the time of purchase or as agreed in a separate order form. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. We reserve the right to change pricing with 30 days' written notice. Failure to pay may result in suspension or termination of your access to the Service.

4. Acceptable Use

You agree to use the Service only for lawful purposes related to managing an automotive repair or service business. You may not:

• Use the Service for any illegal activity
• Attempt to gain unauthorized access to the Service, other accounts, or other Shop data
• Interfere with or disrupt the Service's infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without written authorization from Refit LLC
• Use the Service to send unsolicited or bulk SMS messages in violation of applicable laws including the Telephone Consumer Protection Act (TCPA)

5. SMS Messaging Compliance

The Service includes SMS messaging capabilities powered by Twilio. You are solely responsible for ensuring compliance with all applicable laws regarding SMS communications, including the TCPA and state-level regulations. You must obtain proper consent from your customers before sending them text messages through the Service. You are responsible for honoring opt-out requests (STOP messages) from your customers. Refit LLC is not liable for your use of SMS messaging in violation of applicable laws.

6. Data Ownership

• Your Data: You retain full ownership of all Customer Data you enter into or generate through the Service. Refit LLC does not claim any ownership rights over your Customer Data.
• License to Operate: You grant Refit LLC a limited, non-exclusive license to use, process, and store your Customer Data solely for the purpose of providing and improving the Service.
• Data Export: You may export your Customer Data at any time through the Service's export functionality. Upon termination, you will have 90 days to export your data before it is permanently deleted.
• Aggregated Data: We may use anonymized, aggregated data derived from usage of the Service for analytics, benchmarking, and improving the Service. Such data will not identify you or your customers.

7. Third-Party Integrations

The Service integrates with third-party services including Stripe (payments), Twilio (SMS), QuickBooks Online (accounting), Resend (email), and PlateToVIN (vehicle lookup).

• Your use of these integrations is subject to the respective third-party's terms of service
• You are responsible for maintaining your own accounts with these providers and for any fees they charge
• Refit LLC is not responsible for the availability, accuracy, or performance of third-party services
• We do not guarantee uninterrupted connectivity with third-party integrations

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide reasonable advance notice)
• Unscheduled maintenance or emergency repairs
• Factors outside our control including third-party service outages, internet connectivity issues, or force majeure events

We are not liable for any damages resulting from Service downtime.

9. Data Security

We implement industry-standard security measures to protect your data, including:

• Encrypted data transmission (HTTPS/TLS)
• Database-level row-level security isolating each Shop's data
• Encrypted storage of sensitive credentials
• Secure authentication via Supabase Auth with JWT tokens

While we take reasonable measures to protect your data, no method of electronic storage or transmission is 100% secure. We cannot guarantee absolute security.

10. Intellectual Property

The Service, including its design, code, features, documentation, and trademarks, is the intellectual property of Refit LLC. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription period. You may not copy, modify, or create derivative works based on the Service.

11. Purchase Option

If you purchase a standalone license to the ShopForge platform (the “Purchase Option”), you receive a non-exclusive, perpetual license to deploy and operate the platform on your own infrastructure. The Purchase Option includes the source code as delivered at the time of purchase. It does not include future updates, new features, or ongoing support unless separately agreed. You may not resell, redistribute, or sublicense the source code to third parties.

12. Limitation of Liability

To the maximum extent permitted by law, Refit LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).

13. Indemnification

You agree to indemnify, defend, and hold harmless Refit LLC, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law, including SMS messaging laws
• Any dispute between you and your customers

14. Termination

• By You: You may cancel your subscription at any time. Contact support@refit.build to cancel your subscription. Cancellations take effect at the end of your current billing period. You will continue to have access until that date.
• By Us: We may suspend or terminate your access if you violate these Terms, fail to pay subscription fees, or if we reasonably believe your use of the Service is harmful to other subscribers or the Service infrastructure. We will provide notice before termination except in cases of egregious violations.
• Effect of Termination: Upon termination, your right to access the Service ends. You will have 90 days to export your Customer Data. After 90 days, your data will be permanently deleted.

15. Dispute Resolution

These Terms are governed by the laws of the State of California without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Orange County, California, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you may cancel your subscription before the changes take effect.

17. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and Refit LLC regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.
